Governing the use of the SilentConsensus™ platform

By accessing or using the SilentConsensus™ platform and website (the "Service") operated by SilentConsensus Holdings, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
SilentConsensus™ is a cryptographic asset partition platform that enables attorneys to facilitate blind, privacy-preserving preference discovery among participants in estate, divorce, and partnership dissolution matters. The Service provides a technology tool to assist legal professionals — it does not provide legal advice, mediation, or dispute resolution services.
The Service is intended for use by licensed attorneys and legal professionals. By creating an account, you represent that you are a licensed attorney or authorized representative of a law firm or legal practice. Participants in partition sessions do not require accounts and access the Service through attorney-generated links.
You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for the proper distribution of participant access links. You agree to notify us immediately of any unauthorized use of your account.
You agree to use the Service only for its intended purpose of facilitating asset partition sessions in connection with legitimate legal matters. You shall not: (a) use the Service for any unlawful purpose; (b) attempt to reverse-engineer, decompile, or circumvent the cryptographic protections of the Service; (c) share participant access links with unauthorized individuals; or (d) use the Service in any manner that could damage, disable, or impair the Service.
The Service, including its cryptographic methods, architecture, software, and documentation, is protected by intellectual property laws including a pending United States patent (Application No. 63/999,978). SilentConsensus™ is a trademark of SilentConsensus Holdings, LLC. All rights not expressly granted herein are reserved by the Company. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
Access to the Service requires a paid subscription. Pricing, billing terms, and payment methods are described at the time of subscription. We reserve the right to change pricing with reasonable notice. Fees are non-refundable except as required by applicable law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO THE COMPANY IN THE TWELVE MONTHS PRECEDING THE CLAIM.
The Service is a technology tool. Nothing provided by the Service constitutes legal advice, mediation, arbitration, or professional guidance. The attorney using the Service remains solely responsible for all legal decisions, client communications, and professional obligations related to any matter.
Our collection and use of information is governed by our Privacy Policy, which is incorporated by reference. By using the Service, you consent to the practices described in the Privacy Policy.
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Wyoming.
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
